Introduction
These Terms and Conditions govern your access to and use of the services, applications, software, websites, and platforms provided by TradePal AI Technology Limited.
1. Acceptance of terms
By accessing or using our platform or services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.
2. Eligibility
You must be at least eighteen (18) years old and possess the legal capacity under the laws of the Federal Republic of Nigeria to enter into binding agreements. By using the Services, you represent and warrant that all information provided by you is accurate, complete, current, and not misleading; you are not prohibited from using the Services under any applicable law; you are not subject to sanctions, embargoes, or restrictions under applicable anti-money laundering, counter-terrorism financing, or export control laws; and your use of the Services shall comply with all applicable laws and regulations. TradePal AI reserves the right to request verification documents or additional information for identity verification, compliance, security, or regulatory purposes.
3. Scope of services
TradePal AI provides technology-enabled services and digital solutions, including tools and software solutions designed to assist companies and individuals with tax compliance processes, technology support and informational resources relating to cryptocurrency and digital asset tax obligations, artificial intelligence-enabled business process support services, digital compliance and workflow automation solutions, and related software and platform services. TradePal AI provides technology-enabled tools, automation support, and general informational resources only. Nothing on the platform constitutes legal, tax, accounting, financial, investment, or regulatory advice unless expressly provided pursuant to a separate written agreement executed with a duly qualified professional. Users remain solely responsible for their financial, tax, accounting, investment, and business decisions, obtaining independent professional advice where required, and ensuring compliance with applicable laws and regulations. Users acknowledge that laws and regulations relating to cryptocurrency, virtual assets, taxation, and financial technology may evolve from time to time, and TradePal AI does not guarantee the legality, regulatory treatment, profitability, or tax consequences of any cryptocurrency or digital asset transaction.
4. User obligations
You agree to use the Services solely for lawful purposes and in compliance with all applicable laws, including the Nigeria Data Protection Act 2023, the Companies and Allied Matters Act 2020, the Cybercrimes (Prohibition, Prevention, etc.) Act, the Money Laundering (Prevention and Prohibition) Act 2022, and any applicable anti-money laundering, counter-terrorism financing, tax, consumer protection, or virtual asset regulations. You shall not use the platform for fraudulent, unlawful, or deceptive purposes; engage in money laundering, terrorist financing, tax evasion, or unlawful virtual asset activities; interfere with, disrupt, or compromise the integrity or security of the platform; attempt to gain unauthorized access to any systems, servers, accounts, or data; upload, transmit, or distribute malware, viruses, harmful code, or offensive material; impersonate another person or entity; or use automated systems, bots, scraping tools, or similar technologies without authorization. TradePal AI reserves the right to monitor, investigate, suspend, or report suspicious activities to relevant regulatory, law enforcement, or governmental authorities where required by law.
5. Account registration and security
Certain features of the Services may require account registration. You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are responsible for maintaining the confidentiality of your login credentials, restricting unauthorized access to your account, and all activities conducted through your account. You shall immediately notify TradePal AI of any unauthorized use, security breach, or suspected compromise of your account. TradePal AI reserves the right to suspend, restrict, or terminate accounts suspected of fraud, unlawful conduct, or security risks, and shall not be liable for losses arising from unauthorized access to your account caused by your failure to safeguard account credentials.
6. Intellectual property rights
All intellectual property rights in the Services, including software, source code, databases, trademarks, logos, designs, text, graphics, artificial intelligence systems, and content, are and shall remain the exclusive property of TradePal AI or its licensors. Subject to these Terms, TradePal AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful personal or internal business purposes. You shall not reverse engineer, decompile, disassemble, modify, or create derivative works from the platform; scrape, extract, copy, reproduce, republish, or commercially exploit any part of the Services without prior written consent; or use the Services to train or develop competing artificial intelligence systems or models.
7. Data protection and privacy
Your use of the Services is subject to our Privacy Policy and Cookies Policy, which form part of these Terms. TradePal AI processes personal data in accordance with applicable data protection laws, including the Nigeria Data Protection Act 2023 and, where applicable, the GDPR. By using the Services, you acknowledge and consent to the lawful collection, processing, storage, transfer, and use of your personal data for legitimate business, compliance, security, operational, and legal purposes. TradePal AI may engage third-party service providers, subprocessors, cloud providers, payment processors, or technology partners subject to appropriate contractual and security safeguards, and shall implement reasonable technical and organizational measures to protect personal data but does not guarantee absolute security of electronic transmissions or storage systems.
8. Fees and payment
Certain Services may attract fees, subscription charges, or transaction costs. Applicable fees shall be communicated prior to purchase, subscription, or use. Payments shall be made through designated secure payment channels approved by TradePal AI. Except where required by applicable law or expressly stated otherwise, fees paid are non-refundable. TradePal AI reserves the right to modify pricing upon reasonable notice, suspend or terminate access for non-payment, and refuse transactions suspected of fraud or illegality. Users are responsible for applicable taxes, levies, duties, or governmental charges associated with their use of the Services.
9. Third-party services
The Services may contain integrations, links, APIs, payment gateways, or access to third-party platforms or services. TradePal AI does not control and shall not be responsible for the availability, security, accuracy, or reliability of third-party services, third-party content or policies, or losses arising from your use of third-party platforms. Your interactions with third-party providers are governed solely by their respective terms and policies.
10. Disclaimer of warranties
The Services are provided on an as-is and as-available basis. To the maximum extent permitted by law, TradePal AI disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including warranties relating to merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, accuracy or reliability of outputs, and security or error-free operation. TradePal AI does not warrant that the Services will be uninterrupted or error-free, defects will be corrected, the platform will be free from viruses or harmful components, or outputs generated through AI-enabled systems will always be accurate, complete, or suitable for your intended use.
11. Limitation of liability
To the maximum extent permitted by law, TradePal AI and its directors, officers, employees, affiliates, agents, and licensors shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, data, goodwill, or business opportunities; inaccuracies, delays, interruptions, or omissions in the Services; or events beyond TradePal AI's reasonable control. TradePal AI's aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the User to TradePal AI within six (6) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
12. Indemnity
You agree to indemnify, defend, and hold harmless TradePal AI, its directors, employees, affiliates, contractors, and agents from and against all claims, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your violation of applicable laws or regulations, or content, data, or materials submitted by you through the platform.
13. Suspension and termination
TradePal AI reserves the right to suspend, restrict, or terminate your access to the Services immediately where you breach these Terms, your conduct exposes TradePal AI to legal or regulatory risk, suspicious or unlawful activity is detected, or action is required by law or regulatory authority. Upon termination, your right to use the Services shall immediately cease, TradePal AI may deactivate or delete your account subject to applicable legal obligations, and outstanding obligations owed to TradePal AI shall remain enforceable. TradePal AI may retain records or information where required by law, regulatory obligations, dispute resolution purposes, or legitimate business interests, and clauses relating to intellectual property, indemnity, limitation of liability, dispute resolution, and data protection shall survive termination.
14. Force majeure
TradePal AI shall not be liable for delays, failures, or interruptions resulting from events beyond its reasonable control, including acts of God, cyberattacks, internet failures, governmental actions, labor disputes, pandemics, power outages, regulatory restrictions, or failures of third-party infrastructure.
15. Electronic communications
You consent to receive notices, disclosures, agreements, updates, and communications electronically through email, platform notifications, or other digital means.
16. Dispute resolution and governing law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties shall first attempt to resolve disputes amicably through good faith negotiations. Where unresolved within thirty (30) days, disputes shall be referred to arbitration in accordance with the Arbitration and Mediation Act 2023. The arbitration shall be conducted by a sole arbitrator, take place in Lagos, Nigeria, be conducted in the English language, and be final and binding on the parties. Nothing in this clause prevents TradePal AI from seeking interim or injunctive relief before a court of competent jurisdiction.
17. Amendments
TradePal AI reserves the right to amend or update these Terms from time to time. Material changes shall become effective upon at least seven (7) days' notice communicated through the platform, email, or other reasonable means. Continued use of the Services after such amendments constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire agreement
These Terms, together with the Privacy Policy, Cookies Policy, and any additional service-specific agreements, constitute the entire agreement between you and TradePal regarding the Services.
